Wapikon Terms of Service

1. Introduction
Wapikon is a product of Kredmaxx Technologies  (“Wapikon,” “we,” “us,” or “our”), a company incorporated under the laws of the United Arab Emirates (UAE). Kredmaxx Technologies provides Software as a Service (SaaS) that allows customers to store, manipulate, analyze, and transfer messages between their business systems and customers on various Wapikon-provided and third-party messaging channels (the “Service”). A “Customer” is an entity that has an agreement with Wapikon to use the Service.

This Terms of Service (the “Agreement”) is an agreement between the Customer and Wapikon, collectively referred to as the “Parties” and individually as a “Party,” effective from the date the Customer registers for a Wapikon account through our website or embedded signup process (the “Effective Date”).

2. Acceptance of Terms
By registering for a Wapikon account, you confirm that you have read, understood, and agree to be bound by these terms. You warrant that you have the authority to enter into this Agreement on behalf of the Customer. If you do not agree to these terms, please do not use our Services.

3. Account Suspension and Termination
Wapikon reserves the right to suspend or terminate accounts or access to accounts if we determine that there has been a violation of these terms, without prior notice.

4. Wapikon Platform
Provisioning: Subject to the Customer’s compliance with this Agreement, Wapikon will provide access to the Wapikon Platform under the terms of this Agreement. The Customer must ensure compliance with all applicable terms of use for Third-Party Messaging Platforms and Business Applications, including Facebook Login and WhatsApp Business.

5. Modifications to Service and Fees
Service Changes: Wapikon may modify, suspend, or discontinue the Service at any time without notice.

Fee Changes: We may adjust our monthly/annual fees with 30 days’ notice, communicated via email and updated on our pricing page at wapikon.com/pricing.

Terms of Service Updates: We reserve the right to update these Terms of Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

6. Trademark License
Customer grants Wapikon a non-exclusive, royalty-free license to use its trademarks and logos for marketing and promotion purposes, adhering to the Customer’s trademark usage guidelines. Wapikon will cease using such trademarks if requested by the Customer.

7. Copyrights & Ownership
Wapikon retains all rights to the Wapikon Solution and related intellectual property. The Service is licensed, not sold. Customers do not acquire any ownership rights to Wapikon Property.

8. Customer Data
Wapikon may store, use, and transfer Customer Data, including Personal Data, to subcontractors as necessary to deliver the Service. Aggregated or de-identified data may be used for internal purposes. Customers must ensure that Administrative Users and Chat Participants agree to these terms.

9. Customer Responsibilities
Account Security: Customers are responsible for maintaining the security of their accounts. Wapikon will not be liable for losses resulting from unauthorized access.

Use Restrictions: Customers must not use the Wapikon Platform for illegal activities, to distribute harmful content, or to violate any third-party rights. Wapikon may remove content or accounts deemed objectionable.

10. WhatsApp & Usage Policy
Compliance: Customers must adhere to WhatsApp’s terms and policies, including WhatsApp Business and Commerce Policies, as well as Facebook’s guidelines when using Facebook Login for authentication and WABA creation.

Message Limits and Template Approvals: Customers must comply with WhatsApp’s messaging limits and obtain approval for Message Templates. Violations may lead to suspension by WhatsApp.

Liability: Wapikon is not responsible for violations related to WhatsApp policies. Additional charges due to such violations are the Customer’s responsibility.

11. Facebook Login and Embedded Signup
Facebook Login: Customers who use Facebook Login as part of the Wapikon embedded signup process must adhere to Facebook’s Platform Policies and the associated OAuth scopes (including public_profileemailbusiness_managementwhatsapp_business_management, and whatsapp_business_messaging). These permissions are necessary for the authentication and creation of WhatsApp Business Accounts (WABA).

Verification: Customers must comply with Facebook’s and WhatsApp’s verification requirements. Wapikon will assist with the application process, but final approval is determined by Facebook and WhatsApp.

12. WhatsApp Message Policy
Message Types and Policies: WhatsApp may change acceptable message types and policies. Customers must use approved Message Templates and comply with the Customer Service Window rules.

13. Email and Web Support
Technical support is available from 10:00 am to 7:00 pm IST on weekdays, excluding holidays, via email or our chat widget. Contact support@wapikon.com.

14. Fees and Payment
Fees: Customers agree to pay fees as described on the Wapikon Website. Fees are due in advance by credit card.

Payment Terms: Fees are payable in U.S. Dollars (USD) and INR or as specified. All payments are non-refundable, and customers are responsible for all associated charges, including conversion fees and international transaction fees if applicable.

Disputed Invoices: Customers may dispute invoices within fifteen (15) days of receipt. Disputed amounts must be documented, and non-disputed amounts must be paid.

Late Payment: Late payments may incur a charge of 1.5% per month or the maximum rate allowed by law. Accounts overdue by more than 30 days will be suspended.

Account Suspension and Cancellation: Accounts may be suspended or canceled for non-payment. Termination will result in the loss of all account content, which cannot be recovered.

Taxes: Customers are responsible for all applicable taxes, including VAT, GST, and any other international taxes or fees.

15. Limitation of Liabilities
Amount: Wapikon’s total liability under this Agreement is limited to the lesser of the fees paid in the prior 12 months.

Type: Wapikon is not liable for special, consequential, or indirect damages. Liability is limited to the extent permitted by law.

16. Term and Termination
Term: This Agreement starts on the Effective Date and continues until terminated. Subscriptions automatically renew unless canceled.

Termination for Convenience: Either Party may terminate with thirty (30) days’ notice before the end of the term. Termination will result in the deactivation of the account and forfeiture of content.

Termination for Non-payment: Accounts may be suspended for non-payment after thirty (30) days’ notice. Customers remain liable for payments due.

Termination for Cause: Either Party may terminate for a material breach or insolvency. Termination by Wapikon may require payment for the remainder of the term.

Refunds: No refunds are provided for early termination. Customers are responsible for all charges incurred up to the termination date.

17. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the India. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of the India.
